TERMS OF SERVICE

Please read these Terms of Service ("Terms") carefully before using the Ninjalens service ("Service") operated by Ninjalens ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use the Service.

1. Description of Service

Ninjalens is a Google Apps Script-based SaaS tool that monitors GA4 (Google Analytics 4) data, detects anomalies and JavaScript errors, and delivers AI-powered analysis reports via Slack and email. The Service is delivered as a Google Spreadsheet template that runs on Google's infrastructure.

2. License and Use

Upon purchase, you are granted a non-exclusive, non-transferable license to use the Service for the number of Google Spreadsheet instances corresponding to your plan (1 for Starter, 10 for Agency).

• You may not share, resell, or sublicense the license key itself to third parties outside of your own organization or client base as permitted by your plan.
• You may use the Agency plan to provide white-label monitoring services to your clients as intended.
• You may not reverse engineer, decompile, or attempt to extract the source code of the underlying GAS library.
• You may not use the Service for any unlawful purpose or in violation of any applicable laws or regulations.

3. Subscription and Payment

The Service is offered on a monthly subscription basis. Payments are processed by LemonSqueezy. By subscribing, you authorize recurring charges to your payment method on a monthly basis.

• Subscriptions automatically renew each month unless cancelled.
• You may cancel your subscription at any time through your LemonSqueezy customer portal.
• Cancellation takes effect at the end of the current billing period. You retain access until that date.
• We reserve the right to change pricing with 30 days' prior notice.

4. Free Trial

We offer a 14-day free trial with no credit card required. After the trial period ends, continued use of the Service requires a paid subscription. We reserve the right to modify or discontinue the free trial offer at any time.

5. Third-Party Services and Dependencies

The Service relies on third-party platforms including Google Apps Script, Google Analytics (GA4), Google Gemini API, and Slack. You are responsible for:

• Maintaining your own API keys and credentials (Gemini API key, GA4 Property ID, Slack Webhook URL)
• Complying with the terms of service of all third-party platforms you connect
• Any costs incurred from your use of third-party APIs

We are not responsible for disruptions, changes, or discontinuation of third-party services that may affect the Service.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, error-free, or completely secure
• AI-generated analysis will be accurate, complete, or suitable for any particular purpose
• The Service will detect all anomalies or errors on your site
• Results obtained through the Service will meet your expectations

AI-generated reports are provided for informational purposes only and should not be the sole basis for business decisions.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless Ninjalens from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

9. Intellectual Property

The Ninjalens name, logo, website, and underlying GAS library code are our exclusive intellectual property. These Terms do not grant you any rights to our intellectual property except as explicitly stated herein.

10. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion if you violate these Terms. Upon termination, your license key will be deactivated. You remain responsible for any outstanding payments.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Japan.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or prominent notice on our website. Continued use of the Service after changes constitutes acceptance of the new Terms.
